6. Influencer/Creator Terms of Service
These provisions apply to users acting as Influencers/Creators on Space App. As an Influencer, you use Space App to find campaign opportunities with tech Sellers, create content featuring cool products, and earn commissions from sales generated by your content. By using Space App as an Influencer, you agree to the following:
6.1. Using Space App to Find Campaigns
- Profile and Authenticity: To attract Sellers, maintain an honest and up-to-date Influencer profile. This may include linking your social media accounts so Space App can display follower counts or recent content, and providing a bio or interests so Sellers know what kind of products you love. You certify that any social media accounts linked are yours and not fake or bought accounts. Misrepresenting your influence (such as claiming more followers than you have, or using bots to inflate engagement) is prohibited and can result in removal from the Platform. -Discovering Campaigns: Space App will present you with campaign opportunities from Sellers, possibly through a swipe interface or searchable marketplace. Campaign listings will show key details like product info, commission rate, and any influencer requirements. You can “like” or express interest in campaigns that appeal to you. Only express interest in campaigns you genuinely intend to pursue. If you swipe right or request to join a campaign and later consistently back out, it affects Sellers and may impact your standing.
- Matching with Sellers: When a Seller approves you for a campaign (a “match”), you’ll be notified and can begin chatting with them in-app. Prompt communication is key: respond to messages in a timely manner and be clear about your ideas or any questions. If you realize a campaign isn’t a good fit before confirming a Deal, it’s okay to politely decline at that stage — just communicate clearly. Ghosting a Seller after being matched is unprofessional. -Meeting Campaign Requirements: Some campaigns may list specific criteria (e.g., “Influencers in North America only” or “Must have tech-focused audience” or a minimum follower count). Please respect these requirements; do not attempt to join campaigns you know you don’t qualify for. Sellers have the right to approve or reject based on these criteria. If you somehow bypass a requirement and it’s discovered you don’t meet it, the Seller or Space App may cancel the Deal. It’s in everyone’s interest to ensure a good fit for campaigns.
6.2. Negotiating and Confirming a Deal
- Clarify Expectations: Once matched with a Seller, use the messaging channel to discuss the campaign details. Important things to clarify include: What kind of content is expected (e.g., an Instagram reel, a YouTube unboxing, a blog post)? On which platform(s) will you post? Is there a specific angle or message the Seller wants highlighted? Is there a deadline for posting (for example, to align with a product launch or holiday)? Will the Seller want to review the content before you post it? Clear communication now will prevent misunderstandings later.
- Agreeing on Commission & Terms: Ensure you understand the commission structure and any other compensation. Most campaigns on Space App for v1.0 are commission-based (performance-driven). This means you might not receive an upfront payment, but rather earn money as your audience buys the product through your link or code. Make sure the commission percentage or per-sale amount is acceptable to you. If you have concerns (e.g., you usually charge a base fee for content creation), discuss it with the Seller before confirming the Deal. Space App at version 1.0 is focused on commission-based deals, so while flat fees aren’t built into the standard flow, you and the Seller could negotiate something custom off-platform. (However, we recommend keeping all compensation on-platform for transparency.) -Deal Confirmation: Once both you and the Seller have ironed out the details, the Seller will fill in the Deal form in the app (or you may fill it in together). Review it carefully. It should list the commission rate, which product(s) you’ll promote, how you’re getting the product (shipped, buying & reimbursed, or none needed), any deadline for posting content, and any special notes. If it looks good, click to accept/confirm the Deal. By confirming, you are committing to fulfill your side of the agreement – creating and posting the content as agreed – and the Seller is committing to provide the product/compensation as described. This is a binding agreement (subject to cancellation policies or mutual changes in writing).
- Keep It Professional: If at any point in negotiation the Seller asks you to do something you’re uncomfortable with (for example, make a claim you know is false, or create content in a style you feel doesn’t suit you), you have the right to address that concern. It’s better to sort it out or walk away before confirming than to have a bad campaign. Space App’s team is here to support fair collaborations – if you encounter any pressure to do something against these Terms or the law, inform us.
6.3. Receiving Products or Access for Campaigns
Depending on what was agreed in the Deal, here’s what to expect and what you must do regarding the product being promoted:
- If Product is Shipped to You: You will provide a valid shipping address (and any other necessary info) to the Seller via the Platform. Once the Seller ships the product, they should give you tracking info. Upon receiving the product, inspect it and let the Seller know it arrived safely (a quick message is fine). Use the product as needed to create authentic content. Important: Any product sent to you is generally yours to keep as part of the collaboration, but it is provided for the purpose of content creation. You must not sell it or give it away before completing your campaign content. Doing so (or if we discover an Influencer habitually just collects free products without posting) will result in removal from Space App. If the campaign falls through or you cannot complete it, the Seller may request you return the product; in such case, coordinate with them or Space App support to return it promptly. -If You Buy the Product for Reimbursement: Follow the Seller’s instructions on where/how to purchase. Use any code or referral link they provide, as that might also track your purchase. Keep the receipt or order confirmation as proof. Space App may have a feature to upload this proof to the Deal. You should not incur unreasonable costs – stick to the agreed budget (e.g., if the product costs $100 as per Deal, don’t buy a deluxe $200 version expecting reimbursement unless the Seller okayed it). After buying, inform the Seller (and provide the receipt if requested). The Seller is then obligated to reimburse you as per the Deal (commonly, after you’ve posted the content, or another milestone). If the Seller fails to reimburse you for an approved expense, notify Space App support. While Space App is not automatically liable for unpaid reimbursements, we take such breaches seriously and will intervene to press the Seller or in some cases may cover the loss and then recover from the Seller. Our goal is that you’re not left footing the bill for a product when you upheld your end. -If No Product is Provided: Then you can proceed with content creation using the information available. Perhaps it’s a software you can sign up for, or you already own the gadget, or the content is more of an announcement. In such cases, ensure you have all details from the Seller (maybe request a demo video or spec sheet if needed). Even if you don’t physically have the product, you should still make content that is honest and useful to viewers – e.g., talking about the product features, why you find it interesting, etc., and encourage them to check it out via your link. In all cases, treat the Seller’s product with care and respect. If it’s a physical item and something goes wrong (it arrives damaged or malfunctions), let the Seller know immediately to figure out a solution (maybe they’ll send a replacement or adjust the plan). Communication is key.
6.4. Creating and Posting Content
Now the fun part – making content about the product! Here are your responsibilities: -Quality Content Creation: You agree to create original content that highlights the Seller’s product as agreed. The content format and platform should match what was discussed (e.g., if you agreed to do a TikTok video, don’t substitute it with a Twitter post). Put in your genuine effort and creativity – remember, you were likely chosen because of your personal style and audience connection, so bring that into the campaign. Low-effort content (like a single blurry photo with no caption) that doesn’t meet the spirit of the agreement could be considered non-fulfillment.
- Timeliness: If a deadline was set in the Deal, you must post by that deadline. If no specific deadline, aim to post within a reasonable time (commonly within a week or two of receiving the product, unless the campaign is tied to a specific launch date). If unforeseen circumstances prevent you from posting on time (illness, technical issue, etc.), communicate with the Seller immediately and propose an alternate date – most Sellers will understand if kept in the loop. Just don’t go silent or ignore the agreed timeline, as that breaches your commitment. -Required Disclosures: It is mandatory to disclose your partnership or sponsorship in the content, in accordance with legal guidelines (such as the FTC Guides in the United States or similar regulations elsewhere). This usually means clearly indicating that the post is an advertisement or that you received the product/are earning commission. Common methods include hashtags like #ad, #sponsored, or verbal/audio disclosure in videos. The disclosure should be hard to miss by an average viewer. You agree to include such a disclosure in every piece of campaign content. Sellers on Space App are instructed to encourage this as well – both parties must prioritize transparency to maintain trust with the audience and comply with laws. -Honest Opinions: While you are promoting the product, you should not lie to your audience. You are free to share your genuine experience or review. If there are aspects you love, highlight them; if there are minor downsides, you can mention them diplomatically or discuss with the Seller how to handle it. You and the Seller may agree on key messages, but ultimately your content should reflect your true opinion in your own voice. Do not make claims about the product that the Seller hasn’t approved or that are not true (for example, don’t say “this phone never breaks” unless it’s proven and the Seller specifically claims that). Remember, as an Influencer, your credibility with your audience is your asset – don’t damage it by being dishonest. -Inclusion of Tracking Links/Codes: Use the specific referral link or discount code provided by the Seller/Platform when you promote. For example, if you got a custom URL or code (e.g., “Use code ALICE10 to get 10% off and I’ll earn a commission”), make sure it’s easy for your audience to use. Put links in your bio or swipe-up if on stories, mention the code verbally and in captions – whatever fits the platform. This is crucial because it’s how your sales get tracked for your commission. If you fail to use the tracking link or code, Space App might not attribute sales to you, and you could lose out on earnings. So double-check that all links and codes are correct in your content. -Content Guidelines: You agree that your content for the campaign will not include any offensive, inappropriate, or unrelated material. Since you’re representing a brand’s product, avoid controversial political or religious commentary in the same post, avoid profanity or obscene imagery (unless the brand has a very edgy persona and explicitly is okay with it). If the Seller provided specific guidelines (e.g., “please show the product in use outdoors” or “don’t mention our competitor by name”), try to honor those as long as they are reasonable. If you strongly disagree with a requested guideline, discuss it with the Seller rather than ignoring it. -Rights and Usage of Content: (See also Section 6.7 on Intellectual Property.) Unless otherwise agreed, you retain ownership of the content you create. However, by participating in the campaign, you typically grant the Seller permission to repost or share your content on their own social media or marketing channels, as long as they credit you. For example, the Seller might want to share your Instagram post to their Instagram feed or use your YouTube review in their website’s testimonials section. This kind of re-use is often mutually beneficial (you get more exposure, they get authentic promotion). If you are not comfortable with the Seller reusing your content, you must communicate that clearly before the Deal is confirmed. In absence of any written restriction, it’s generally understood the Seller can reuse the campaign content for promotion of the product. Note that this doesn’t mean the Seller can edit your content or use it in paid advertisements without permission – ideally, any such extended use (like putting your face in a billboard ad) should be with a separate agreement. But normal sharing on their own social media with attribution is considered fine. Additionally, you agree that Space App may feature your content or campaign snippets within the app or on our website/social media for the purpose of promoting the Platform (e.g., showcasing success stories). We will credit you if we do so. If you have concerns about this, let us know. -Proof of Posting: After you post your sponsored content, Space App may require you to mark the campaign as “Completed” and provide proof, such as the URL to your post or a screenshot. This helps trigger the commission tracking and signals the Seller that you’ve fulfilled your part. Make sure to do this step promptly after posting. The Seller might also be checking, but it’s good practice to confirm completion formally in the app.
6.5. Earning Commission and Payments
- How Commission Works: Space App tracks purchases by your audience via the special link or code provided. When your followers or viewers click through and buy the Seller’s product, those sales are attributed to you. You earn the commission specified in the Deal on each such sale. For example, if the product is $100 and commission is 10%, you earn $10 for each sale you drive. Space App will show you in the app dashboard how many clicks, conversions, and commissions you’ve accumulated, so you can track your performance in near real-time. It’s exciting to see those numbers grow, but also note that some might be pending until orders are finalized. -No Commission on Returns/Fraud: You will earn commission on genuine, completed sales. If an order you earned commission on is later refunded or found to be fraudulent, the Seller may reverse that commission. Space App’s system will adjust your earnings if that happens (you will be able to see an entry or note). We strive to keep things fair: you shouldn’t lose commission for a valid sale, but also shouldn’t profit from a sale that didn’t actually go through. If you notice a discrepancy or suspect a Seller is unfairly claiming returns to avoid paying, notify Space App and we will investigate. -Payout Process: To receive your money, you’ll need to provide payout information (such as a bank account, PayPal, or other methods supported by Space App) in your Influencer profile. Space App (or its payment processor partner) will hold the commissions you’ve earned and pay them out to you on a regular schedule, after any applicable holding period. As of version 1.0, typical payout schedules might be monthly or bi-weekly. We may also impose a minimum payout threshold (for example, you need to accumulate at least $50 in earnings before we send a payout) to avoid high processing fees on tiny transactions. Any thresholds or schedules will be clearly communicated in the app or during setup. You can always see your balance and earnings status in the app. -Taxes on Earnings: The commission you earn is income. You are responsible for any taxes on these earnings according to your local laws (for example, income tax). Space App or Sellers generally will not withhold taxes for you. However, if required by law (for instance, for U.S. influencers, if you earn over a certain amount, we might provide a 1099 form or equivalent), we’ll comply with tax reporting obligations. Keep track of your earnings and consult a tax advisor if needed. By agreeing to these Terms, you acknowledge that it’s your duty to report and pay taxes on your income from Space App. -Transparency to Audience: This is more of an ethical note – we encourage you to be transparent with your audience that you may earn a commission if they buy via your link (in addition to the general sponsorship disclosure). Phrases like “I may earn a small commission at no extra cost to you if you purchase through my link” help maintain trust. Some jurisdictions (like the EU) might even require such affiliate commission disclosures. It’s good practice and builds credibility with your followers. -No Guarantee of Earnings: While Space App is designed to help you monetize your influence, we of course cannot guarantee that you will earn any particular amount. Your earnings depend on many factors, including how compelling your content is, how interested your audience is in the product, product price and conversion rates, etc. We hope every campaign is a success, but sometimes an Influencer might post and very few people buy – resulting in little commission. That’s the nature of performance-based marketing. We urge you to choose campaigns that genuinely resonate with your audience for better results. Space App isn’t liable for any shortfall in expected earnings.
6.6. Your Additional Responsibilities and Promises
-Compliance with Social Platform Rules: You must abide by the terms of service of any third-party social platform where you post content. For example, if you promote a product on YouTube, follow YouTube’s community guidelines and disclosure rules. If Instagram has rules on branded content (like using the “Paid Partnership” tag), comply with that. It’s your responsibility to not get yourself in trouble on those platforms. If you lose access to your social account (get banned or hacked) during a campaign, inform the Seller and Space App; the campaign may need to pause or cancel. -No Fraudulent Activity: Do not attempt to game the system. This includes: -Fake Traffic/Purchases: Do not use bots or click-farms to generate clicks on your referral links. Do not purchase the product yourself multiple times or ask friends/family to do so just to boost commission (beyond perhaps one trial purchase if you genuinely need to test the buying process). Sellers and Space App monitor for unusual patterns. Fraudulent or non-genuine purchases will not count for commission and can get you banned. -Misrepresentation: Don’t impersonate someone else or mislead Sellers about your identity or fan base. Also, do not promise things to Buyers that the product doesn’t deliver just to spur sales – it will backfire with returns and hurt your reputation. -Multiple Accounts: You should have only one Influencer account. Running multiple accounts to double-dip on campaigns is not allowed. -Confidentiality: If a Seller shares confidential information with you (such as a product prototype, unreleased features, or campaign plans), you agree to keep that information confidential until it’s public. For example, if you’re given early access to a gadget that launches next month, do not leak details before the agreed publish date. Respect any embargoes or nondisclosure requests from the Seller. -Follow Through on Deals: When you confirm a Deal, treat it as a professional commitment. Your reliability affects your standing. If you fail to post content without a valid reason, or disappear after receiving a product, you not only risk losing your Space App account, but word can spread among brands. Conversely, completing campaigns diligently can earn you good reviews and more opportunities. Space App may implement an internal rating or review system for Sellers to rate Influencers and vice versa – if so, strive to maintain a good rating by being communicative, creative, and reliable.
6.7. Intellectual Property and Content Rights (Influencer)
- Your Content is Yours (with a license to others): The videos, photos, text, and other content you create for campaigns are owned by you. Space App does not claim ownership of your creative works. However, by using Space App to facilitate a campaign, you grant certain rights to the content to the necessary parties: specifically, you give the Seller a license to use and share the content you created for their campaign, and you give Space App a license to use the content as needed to operate or promote the Platform. These licenses are non-exclusive (you can still use your content however you want elsewhere), worldwide (no geographic limits), royalty-free (you won’t charge for the use), and irrevocable (meaning even if you leave the Platform, the Seller can still, for example, keep the post you made about them on their timeline, and we can keep a record of the campaign). This is simply to allow the normal use of the content. It does not give the Seller or Space App the right to claim your content as their own or sell it independently. If a Seller wants to do something more, like significantly repurpose your content (e.g., turn your video into a TV commercial), that should involve a separate agreement outside Space App’s scope. -Use of Others’ IP in Your Content: Be very careful to only use music, images, or graphics in your sponsored content that you have rights to use. For example, use royalty-free music or licensed tracks for background music in a video, or ensure any stock images are properly licensed. If you include someone else’s trademark (like wearing a shirt with a big brand logo unrelated to the product), that could cause issues too. Essentially, ensure your content won’t trigger a takedown or lawsuit. You represent and warrant that your campaign content will not infringe any third-party intellectual property rights. If a third party does claim your content infringes something (say a record label claims your video used their song without permission), you’ll be responsible for addressing that (including any legal costs). Space App and the Seller should not have to deal with legal fallout from your improper content. This ties into indemnification in Section 8.5.
6.8. Cancellation and Termination (Influencer)
-Cancelling a Confirmed Deal: If you need to back out of a Deal after it’s been confirmed, you should immediately inform the Seller through the Platform and also contact Space App support to mediate. Understand that breaking a commitment can harm the Seller (who might have been counting on your promotion or may have already sent you a product). Acceptable reasons for cancellation might include emergencies or significant changes in circumstance, but “I got a better offer” or lack of time are not great reasons. Depending on timing, a cancellation may mean you must return any product you received (or forego reimbursement if you bought it). We will handle these on a case-by-case basis, but frequent cancellations or no-shows will result in loss of access to campaigns or suspension of your account. -Platform Suspension/Termination: Space App may suspend or terminate your Influencer account for violations such as: fraud, dishonesty, failure to disclose sponsorships, posting hateful or illegal content, repeatedly failing to deliver promised content, or any other serious breach of these Terms. Usually, we will warn you and discuss the issue first, but for egregious misconduct we might deactivate your account immediately to protect the community. After Termination: If you or we terminate your account, you will lose access to the app and any ongoing campaigns. If termination was due to your breach, we may cancel your pending Deals (and notify the Sellers). You will still be entitled to any legitimate unpaid commissions you earned before termination, except in cases of fraud or misconduct (for instance, if you were caught generating fake sales, we will not pay out those “commissions”). Any content or data you provided may be retained for legal reasons (see Privacy Policy about data retention). You must cease representing or implying you are affiliated with Space App after termination. Sections of these Terms meant to survive (like IP license, indemnity, liability limits, etc.) will survive. (In summary, as an Influencer on Space App, be honest, creative, and responsible. If you do your part—create great content and follow the rules—we’ll do ours to track your impact and get you paid. It’s a win-win when influencers, sellers, and buyers all benefit from authentic recommendations!)
