5. Seller Terms of Service
These provisions apply to users acting as Sellers on Space App. As a Seller, you might be a brand, manufacturer, or retailer of tech products, gadgets, or software. Space App enables you to collaborate with Influencers to promote your products and to sell directly to interested Buyers. By using Space App as a Seller, you agree to the following:
5.1. Listing Campaigns and Products
- Campaign Creation: You may create campaign offers within Space App to attract Influencers. When creating a campaign, provide clear and truthful details about the product(s) you want promoted, the commission rate you are offering, any specific requirements for Influencers (such as audience size, niche, location), and whether there is a deadline or timeline for the promotional content. Ensure the commission percentage or payment structure you propose is one you intend to honor for all tracked sales resulting from the campaign.
- Product Information: Any product you list or link on Space App must be a genuine product that you have the right to sell. You agree to provide accurate descriptions, specifications, images, and pricing for your products. Do not list any products that are counterfeit, illegal, or violate intellectual property rights of others. If your product requires certain disclosures (for example, safety warnings or age restrictions), you are responsible for including those.
- Inventory and Availability: Only offer campaigns for products you can supply. If a product becomes unavailable (out of stock or discontinued) while a campaign is active, promptly update the campaign or inform any matched Influencer. It’s unfair to both Influencers and Buyers to promote something that cannot be delivered.
- Prohibited Products: You may not use Space App to sell or promote products that are illegal or highly regulated in the target market. This includes weapons, drugs, obscene materials, or any product that Space App notifies you is not allowed. Space App may remove or ask you to remove any campaign or product listing that violates this rule. If you are unsure whether your product is allowed, please contact us for clarification.
5.2. Engaging with Influencers (Matching and Negotiation)
- Matching Process: Influencers on Space App may discover your campaign offers through a swipe or browsing interface (think of it like a “match” system). If an Influencer expresses interest in your campaign, you will be notified and have the option to review their profile (including their follower count, engagement metrics, and past campaign ratings if available). Take time to choose Influencers who align well with your brand. You are not obligated to accept every interested Influencer—approval is at your discretion.
- In-App Communication: Once matched, you can communicate with the Influencer via Space App’s messaging system to discuss the collaboration. Use this opportunity to clarify expectations: for example, content themes, platforms where content will be posted (Instagram, YouTube, etc.), posting schedule, and any key points you want mentioned. All negotiation and communication for a campaign should remain on the Platform so there is a record in case of disputes and so Space App can assist if needed. Please remain professional and courteous.
- Negotiating Deal Terms: You and the Influencer may negotiate details such as the commission rate (if adjustable), the specific product variant or bundle to promote, any discount code for buyers, deadlines for content posting, or the format of content. Space App will present a Deal screen where these details can be set. Make sure everything is accurate in the Deal before you and the Influencer confirm it. Once confirmed, those terms are binding (subject to any cancellation rights outlined in these Terms or mutually agreed changes in writing on the Platform).
- Providing Guidelines & Assets: If you have brand guidelines, logos, images, or key messaging for the Influencer, you may share those through the Platform (for example, via the messaging or an upload if available). It’s your responsibility to ensure any materials you provide are yours to use or properly licensed. You cannot force the Influencer to say or do anything illegal or misleading. Influencers have creative freedom to present the product authentically; any specific requests should be reasonable and discussed beforehand.
- Respect for Creative Content: Understand that Influencers are independent creators, not your employees. While you can request certain angles or talking points, ultimately the Influencer will create content in their style. Do not harass or micromanage them; instead, build a positive collaboration. If the initial content doesn’t meet agreed basics (for example, they forgot to mention a required hashtag or information), you can politely ask for edits or re-posts, but significant changes or extra content beyond the original agreement may require a new deal or additional compensation – negotiate fairly if so.
- **Approval of Content:**In Space App version 1.0, User-Generated Content (UGC) is not posted on or by Space App itself. Influencers will publish the content on their own social media or channels. However, you may request to see the content before it goes live (for quality check) by having the Influencer send you a preview via the app. If you want this preview right, make sure to communicate it and include it in the Deal terms (e.g., “content draft to be approved by Seller before posting”). Keep in mind, requiring approval might slow things down, so use it when necessary and respond promptly to the Influencer with any feedback.
5.3. Product Delivery to Influencers
Depending on the nature of your product and what you agree with the Influencer, the Deal will specify one of the following methods for the Influencer to obtain your product:
- “Ship Product” to Influencer: If you select this, you agree to ship the product to the Influencer at your cost (unless otherwise negotiated) and provide any necessary tracking info. You should ship the item promptly after the Deal is confirmed (ideally within a few days) to give the Influencer time to use it and create content. The Influencer will provide a shipping address via the Platform; you must only use this address for sending the agreed product and not for any other purpose. Ensure the product shipped matches the description and is in good condition. If the Influencer is in a different country, you are responsible for any customs paperwork and should discuss who covers any import duties (usually the Seller if it’s a review unit).
- “Buy & Reimburse” (Influencer Purchases Product): In some cases, you might ask the Influencer to purchase the product themselves (for example, through your website or a retail store) so they experience the buying process, and then you reimburse the cost. If you use this method, clearly communicate any budget or price limit and the process for reimbursement. For instance, you might provide a special code so the Influencer doesn’t actually pay (preferred), or you promise to pay them back afterwards. If reimbursement is required: you agree to reimburse the Influencer’s documented purchase cost in a timely manner once they have completed their content obligations. Reimbursement can be done through Space App’s payment system if available, or another agreed method (Space App recommends handling it through the Platform for record-keeping). Failure to reimburse an Influencer for an approved purchase is a serious breach of these Terms and could result in your removal from the Platform and other actions to recover the amount.
- “No Product” Provided: If no physical or digital product is needed (perhaps the Influencer already has it, or the promotion doesn’t require a demo unit), then you are not obligated to send anything. This is common for purely digital services or apps where the Influencer can sign up online, or cases where content can be made without a sample. Even so, make sure the Influencer has enough information (like a demo account, screenshots, or specs) to create meaningful content. Regardless of the method, any product or compensation provided to the Influencer is considered part of the agreed Compensation for the Campaign. The Influencer is generally allowed to keep the product (especially if it’s a gift or provided free). However, if the Influencer fails to fulfill their content duties, you may request return of the product or decline to reimburse a purchase – see Influencer Terms below for implications of non-performance. Sellers should note: Influencers are prohibited from reselling or gifting away your product compensation before completing the campaign, to prevent abuse.
5.4. Commission and Payment Obligations to Influencers
One of the key features of Space App is that Influencers are paid based on the sales they help generate for you. As a Seller, you agree to the following regarding commissions and payments:
- Setting the Commission: You will specify a commission rate (e.g., a percentage of each sale’s value, or a fixed amount per sale) in your campaign offer. This commission should be clearly stated and agreed upon in the Deal. For example, you might offer “10% of each sale revenue” or “$5 per unit sold”. Make sure this is a fair rate for the product and attractive to Influencers, as it will motivate them to promote effectively.
- Tracking Sales: Space App will provide tools to track purchases that result from an Influencer’s campaign. This may include unique referral links, coupon codes, or in-app click attribution that ties a Buyer’s purchase to the Influencer’s promotion. As a Seller, you might need to integrate a small tracking code in your online store or honor a coupon code at checkout – you agree to cooperate with these tracking methods. It’s important that you do not tamper with or undermine the tracking (for instance, by telling buyers to remove the code or by attributing the sale elsewhere) as this would deprive the Influencer of earned commission and violate these Terms.
- Payment of Commissions: You are responsible for paying the agreed commissions on all qualifying sales to the Influencer. Space App’s system will calculate the commission due based on tracked sales data. In many cases, Space App will facilitate this by automatically allocating the commission portion to the Influencer (for example, if the Buyer’s payment is processed through the Platform, we may directly split the funds, sending the commission to the Influencer’s account). If Space App does not handle payment directly, you agree to promptly pay the Influencer the amounts due through the Platform’s payout system when invoiced or at the close of the campaign.
- Adjustments for Returns or Cancellations: Commission is typically earned on completed sales that are not reversed. If a Buyer cancels their order or returns a product and receives a refund, you may adjust the commission corresponding to that sale (meaning the Influencer shouldn’t profit from a sale that didn’t stick). Space App’s tracking system or support team can assist in adjusting for returned orders. Be transparent with the Influencer: if you need to claw back a commission due to a return, communicate the reason. Do not abuse this by falsely claiming returns. We recommend setting a short “validation period” (e.g., commission is confirmed X days after purchase, to ensure the Buyer doesn’t return the item). -Payout Schedule: Space App may establish a regular payout schedule (for instance, commissions might be paid out to Influencers every two weeks or monthly). By using the Platform, you authorize Space App to hold, allocate, and disburse funds on your behalf for the purpose of paying Influencers. If you are collecting payments directly from Buyers (outside of Space App’s payment processing), you agree to deposit the owed commission into the Platform or otherwise remit it to the Influencer within a reasonable timeframe (as specified, for example, “within 15 days after the end of the campaign” or similar). Late or missing payments to Influencers constitute a breach of your obligations.
- Fee Deductions: Space App may charge a small processing fee or commission for facilitating the transaction (see Section 8 on Fees). If applicable, such fees or deductions will be transparently disclosed. For example, if Space App charges a 5% fee on commission payouts, and an Influencer earned $100, Space App might deduct $5 as a fee before passing $95 to the Influencer. By agreeing to these Terms, you agree to any such platform fees that were disclosed in the campaign terms or pricing plans.
- No Outside Payment Arrangements: To protect all parties, you should not pay Influencers outside the Platform for campaigns initiated on Space App. Keeping payments within Space App (or its approved payment processor) ensures there is a record and recourse in case of disputes. It also ensures the Influencer gets credit for their sales. Offers to pay “under the table” or off-platform could be seen as an attempt to avoid fees or tracking and are not allowed. If an Influencer requests an off-platform payment method you’re uncomfortable with, please inform Space App support.
5.5. Selling to Buyers on Space App
In addition to working with Influencers, as a Seller you may also be selling products directly to Buyers through the Platform (for instance, a Buyer might click an Influencer’s link and purchase your product, possibly within the app’s interface or via a Space App checkout). The following terms apply to sales transactions with Buyers:
- Order Fulfillment: When a Buyer places an order for your product via Space App, you are responsible for fulfilling that order just as you would for any e-commerce sale. This includes packaging the product safely, shipping it to the Buyer’s provided address, and delivering it within the timeframe you advertised. If you have multiple shipping options or if the product is digital (e.g., software license), ensure the Buyer receives clear instructions or delivery of the item.
- Communication with Buyers: Buyers may contact you via Space App’s messaging (or a Q&A section if provided) with questions about the product or their order. You agree to respond in a timely and helpful manner. Good customer service will lead to better reviews and more trust. Maintain professionalism in all communications. Do not share personal contact information to take the conversation off-platform; keep it within Space App for safety and logging.
- Product Quality and Warranty: You represent and warrant that all products you sell are of merchantable quality, authentic (not counterfeit), and safe for normal use. If your product comes with any warranty or support, make that clear in the product listing and honor those commitments. Buyers have the right to receive a product that matches its description and is free from defects. If multiple Buyers report significant issues with your product (not as described, faulty, etc.), Space App may investigate and require you to address these problems, or in serious cases, suspend your selling privileges.- **Pricing and Fees: You are responsible for setting the price that Buyers will pay for your product. Any taxes (like sales tax or VAT) or shipping fees should be clearly communicated to the Buyer at checkout. You are responsible for remitting any required taxes to the appropriate authorities. Space App is free for Buyers to use; do not add surcharges for using Space App. If Space App charges you a transaction fee (for payment processing or as part of a Seller plan), that fee will usually be deducted from the payout to you, and it should not be passed on to the Buyer as an extra cost.
- Returns and Refunds: You should have a fair return/refund policy for Buyers. At a minimum, you must comply with any consumer protection laws that apply (for example, if law requires you to accept returns of defective products or allow returns within 14 days for online sales, you must do so). Clearly state your return policy in the product listing if possible (e.g., “30-day return for undamaged items” or “no returns except for defects”). If a Buyer requests a return or refund through Space App, you should work with them in good faith to resolve the issue. Space App may facilitate communication, but the resolution (refund, replacement, etc.) is ultimately your responsibility as the Seller. Failing to honor a valid refund request can lead to Buyer complaints and potential removal from the Platform.
- Buyer Data: When a Buyer purchases your product, you will receive certain personal information of the Buyer (such as name, shipping address, and contact info) to fulfill the order. You agree to use this information only for fulfilling that order and related customer service. You must handle this data in compliance with privacy laws and our Privacy Policy. You may not spam buyers or use their info for unrelated marketing unless they explicitly consent. Also, protect their data as you would your own (for example, don’t leave printed addresses lying around, etc.).
5.6. Compliance with Laws and Platform Policies
- Advertising and Promotion Laws: As a Seller, you must ensure that any marketing through Influencers complies with applicable laws and regulations. For example, in the U.S., the Federal Trade Commission (FTC) requires that endorsements or influencer posts clearly disclose that they are sponsored or that the Influencer has a material connection with the Seller. While the Influencer is expected to include such disclosures, you should encourage and not discourage them from doing so. Do not instruct an Influencer to hide the fact that a post is an ad or to make false claims about your product. Ultimately, you are responsible for claims made about your product. Make sure any product claims you ask an Influencer to repeat (like “this gadget is the fastest on the market” or “waterproof to 50m”) are truthful and can be substantiated. Misleading advertising can lead to legal penalties for both you and the Influencer.
- Product Compliance: You are responsible for ensuring your products meet any legal standards (e.g., safety certifications, FCC/CE marks for electronics, etc.). Do not rely on Influencers or Space App to know these regulations; as the Seller, you warrant that selling or promoting your product via Space App does not violate any law.
- No Infringing Materials: All content you provide on Space App (product images, descriptions, brand logos, etc.) must be owned by you or licensed to you. For example, do not upload someone else’s product photo or a celebrity’s image without permission. You grant Space App a license to display this content on the Platform (see Intellectual Property in Section 8), but you retain your ownership. If any third-party claims that your content infringes their rights, Space App may remove the content and will inform you. Repeat infringement may result in termination of your account.
- Indemnification by Sellers: (See also Section 8.5) You agree to indemnify and hold harmless Space App from any claims, damages, or losses arising out of your activities as a Seller. This includes, for example, product liability claims (if your product causes injury or damage), intellectual property infringement claims related to your product or content, or any breach of law or these Terms by you. If Space App incurs costs or legal fees due to something you did or failed to do, you agree to reimburse those costs. We will notify you of any such claims and, where possible, allow you to assist in the defense.
5.7. Cancellation and Termination (Seller)
- Cancelling a Deal with an Influencer: If you must cancel a campaign Deal with an Influencer after it’s been confirmed, you should notify the Influencer as soon as possible via the Platform and provide a reason. Acceptable reasons might include unforeseen stock issues (product became unavailable) or the Influencer violating terms early on. Simply changing your mind is not professional and could harm your reputation on the Platform. Space App may record cancellations; frequent cancellations without good cause could lead to penalties. If you cancel after the Influencer has already incurred costs (e.g., they bought your product for reimbursement or spent time creating content), you should work with Space App and the Influencer to make them whole (such as reimbursing expenses).
- Account Suspension/Termination by Space App: We may suspend or terminate your Seller account if you violate these Terms or engage in behavior that harms our community or business. Reasons for termination could include: failure to pay owed commissions or reimbursements, selling illegal or unsafe products, fraudulently avoiding tracking or fees, receiving excessive complaints from Buyers or Influencers, or any serious misuse of the Platform. We will typically send a warning or inquiry first, but for severe violations we may disable your account immediately. If your account is terminated, any ongoing campaigns may be canceled (with notice to Influencers) and any pending payouts to you may be held or forfeited if related to misconduct.
- Effect of Termination on Sellers: If your Seller account is terminated (by you or us), you remain responsible for fulfilling any outstanding orders to Buyers or refunding them, and for paying any commissions due to Influencers for sales already made. Termination does not absolve you of obligations that arose prior to termination. Sections of these Terms that by their nature should survive (such as indemnification, liability, and any provisions regarding disputes) will continue to apply to you. You will no longer have access to the Platform’s tools or your account data after termination, so we advise downloading any records you need beforehand. (In summary, treat Influencers and Buyers fairly, follow through on your promises, and we’ll all get along great! Space App is here to help you grow your business ethically and transparently.)
